Terms and Conditions

1. Definitions and Scope
1.1 These Terms and Conditions apply to all services, products and goods supplied by Soup Film Laboratory ("Soup", "we", "our", "us").
1.2 "Customer", "Client", "you" or "your" means any individual, organisation or business placing an order with Soup Film Laboratory.
1.3 These Terms govern all film processing, scanning, printing, darkroom printing, digitisation, photographic finishing services, sales of goods and any related services provided by Soup Film Laboratory.
1.4 By placing an order with Soup Film Laboratory, you confirm that you have read and accepted these Terms and Conditions.
2. Orders
2.1 Orders may be placed in person, by post, through our website, by email or by any ordering system operated by Soup Film Laboratory.
2.2 An order is accepted when confirmed by Soup Film Laboratory and may be subject to payment in advance or a deposit.
2.3 Customers are responsible for providing complete and accurate instructions. Soup Film Laboratory accepts no responsibility for delays, errors or additional costs arising from incomplete or inaccurate information supplied by the Customer.
2.4 Soup Film Laboratory reserves the right to refuse any order at its discretion.
2.5 Unless specifically agreed in writing, Soup Film Laboratory reserves the right to determine the most appropriate production methods, materials and workflow required to fulfil an order.
3. Prices and Payment
3.1 Prices are those published by Soup Film Laboratory at the time an order is accepted.
3.2 All prices are stated in Pounds Sterling (£) and include VAT where applicable unless otherwise stated.
3.3 Certain specialist services, custom darkroom printing, exhibition printing, restoration work, retouching, rush orders or bespoke projects may be quoted separately.
3.4 Soup Film Laboratory may require full payment or a deposit before commencing work.
3.5 Ownership of any physical or digital deliverables remains with Soup Film Laboratory until all invoices have been paid in full.
3.6 Prices specified on Metro’s price lists from time to time may be subject to change without warning where necessary due to any variations in Metro’s costs, such as third-party supplier costs and/or labour costs.
3.7 The Client shall be responsible for all customs and other duties and all related costs and expenses payable on any international transaction.
4. Turnaround Times
4.1 Any turnaround time quoted by Soup Film Laboratory is an estimate only and does not constitute a contractual guarantee.
4.2 While we make every reasonable effort to complete work within estimated timescales, delays may occur due to equipment maintenance, supplier delays, staffing, unusually high workloads, postal disruption or circumstances beyond our reasonable control.
4.3 Delays shall not entitle the Customer to compensation unless otherwise agreed in writing.
5. Film Processing and Photographic Materials
5.1 Film processing and photographic printing involve the handling of unique and often irreplaceable materials.
5.2 Soup Film Laboratory undertakes to perform all services with exceptional skill, care and attention using industry-standard procedures and materials.
5.3 Customers acknowledge that photographic outcomes are affected by factors beyond the control of Soup Film Laboratory, including but not limited to exposure, camera operation, film age, storage conditions, manufacturing defects, prior handling, x-ray exposure, light leaks, chemical deterioration and environmental conditions.
5.4 Soup Film Laboratory cannot guarantee specific aesthetic outcomes, including colour balance, density, contrast, grain structure, sharpness or image quality.
5.5 Hand-made analogue prints, silver gelatin prints, darkroom prints and alternative-process prints are individually produced objects. Minor variations between prints, production batches or future reprints are inherent to analogue photographic processes and shall not be regarded as defects.
6. Digital Files and Scans
6.1 Digital scans and image files are supplied as a convenience and should not be considered an archival storage service.
6.2 Customers are responsible for downloading and maintaining independent backups of all digital files.
6.3 Download links, galleries or file transfer services may expire after a stated period.
6.4 Unless otherwise agreed, Soup Film Laboratory reserves the right to permanently delete digital files after ninety (90) days from delivery.
6.5 Retrieval of archived files after delivery may incur an administration charge.
7. Negatives, Prints and Storage
7.1 Customers are encouraged to collect completed orders promptly.
7.2 Unless otherwise agreed, Soup Film Laboratory will retain negatives, prints and customer materials for up to three months following notification that the order is complete.
7.3 Orders remaining uncollected after this period may be deemed abandoned.
7.4 Soup Film Laboratory reserves the right to dispose of uncollected materials after reasonable efforts have been made to contact the Customer.
8. Shipping and Postal Orders
8.1 Materials submitted by post are sent at the Customer's risk.
8.2 Soup Film Laboratory shall take reasonable care in packaging and dispatching completed orders.
8.3 Risk in physical goods passes to the Customer upon delivery to the carrier.
8.4 Claims relating to shipping damage must be reported within five working days of receipt.
8.5 Soup Film Laboratory is not responsible for delays, loss or damage caused by third-party postal or courier services.
9. Intellectual Property and Customer Content
9.1 Customers retain all copyright and intellectual property rights in their photographs, negatives and image files.
9.2 By submitting materials to Soup Film Laboratory, the Customer grants a limited, non-exclusive licence permitting Soup Film Laboratory to process, scan, print, store and transmit the materials solely for the purpose of providing the requested services.
9.3 The Customer warrants that they possess all necessary rights and permissions relating to submitted materials.
9.4 The Customer shall indemnify Soup Film Laboratory against any claim arising from infringement of copyright, intellectual property rights, privacy rights or other legal rights connected with submitted materials.
9.5 Soup Film Laboratory reserves the right to refuse materials that are unlawful or otherwise inappropriate.
10. Confidentiality and Privacy
10.1 Soup Film Laboratory respects the privacy and confidentiality of customer materials.
10.2 Customer images will not be published, displayed, reproduced or used for promotional purposes without prior permission.
10.3 Personal data shall be processed in accordance with our Privacy Policy and applicable UK data protection legislation.
11. Limitation of Liability
11.1 Nothing in these Terms excludes or limits liability where such limitation would be unlawful.
11.2 Subject to clause 11.1, Soup Film Laboratory's total liability arising from any order shall not exceed the amount paid by the Customer for the relevant service.
11.3 In the event that film, negatives, prints or other original photographic materials are lost or damaged while in the care of Soup Film Laboratory, liability shall be limited to the replacement cost of equivalent unexposed materials together with the cost of the relevant processing service.
11.4 Soup Film Laboratory shall not be liable for the artistic, sentimental, archival, historic or commercial value of any image, negative, print or file.
11.5 Soup Film Laboratory shall not be liable for indirect or consequential losses, including loss of profits, loss of business opportunity or reputational damage.
12. Governing Law
12.1 These Terms and Conditions shall be governed by and interpreted in accordance with the laws of England and Wales.
12.2 Any dispute arising under these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.
